Terms of Service

1. Acceptance of these terms

These Terms of Service (“Terms”) govern your access to and use of the Locator Map Plus platform (“Locator Map+”, “the platform”) provided by Map & Allied Technologies Limited (“we”, “us”, “our”).

By accessing or using the platform, registering an account, signing an order form, or embedding the locator on your website or app, you agree to be bound by these Terms. If you do not agree, do not use the platform.

2. The service

Locator Map+ is a software-as-a-service platform for branch, ATM, CDM, VTM, USD-dispensing ATM, and bank-agent location intelligence. We provide configurable, embeddable locators along with admin tooling, analytics, and integration APIs.

We may add, modify, or discontinue features. Material changes that reduce core functionality will be communicated at least 30 days in advance.

3. Your account

• You must be authorised to bind the institution you sign up on behalf of.
• You are responsible for keeping account credentials secure and for all activity on your account.
• You must notify us promptly at security@locator-map.com of any suspected unauthorised use.

4. Fees & billing

Fees are set out in your order form. Unless agreed otherwise:

• Subscriptions are billed annually in advance.
• Fees are exclusive of taxes (VAT, withholding tax, etc.); you are responsible for applicable taxes.
• Subscriptions auto-renew for the same term unless either party gives written notice at least 60 days before renewal.
• Overages, if any, are billed in arrears at the rates set out in the order form.

We do not charge per-search fees and do not take revenue share — on any tier.

5. Acceptable use

You agree NOT to use the platform to:

• Violate any applicable law, regulation, or banking-industry standard.
• Upload data you do not have the right to upload, including third-party trade secrets or copyrighted material without permission.
• Misrepresent locations, hours, or services in ways that materially mislead end users.
• Attempt to reverse-engineer, scrape at industrial scale, or extract our proprietary systems beyond the documented APIs.
• Interfere with platform operations, security, or the experience of other customers.
• Use the platform to facilitate fraud, money laundering, sanctions evasion, or financing of prohibited activities.

6. Your data

You retain ownership of all data you upload, including your locator configuration, branch details, photos, and operational records (“Customer Data”).

You grant us a non-exclusive, royalty-free licence to use Customer Data solely to operate, maintain, and improve the platform on your behalf. We do not sell, rent, or share Customer Data with third parties for marketing.

End-user search and interaction data captured through your locator is processed under our Privacy Policy; you are the controller, we are the processor.

7. Intellectual property

Locator Map+ — including its source code, design, algorithms, documentation, and trademarks — is and remains the exclusive property of Map & Allied Technologies Limited. Nothing in these Terms transfers that ownership.

You may use our trademarks only with prior written permission and in accordance with any brand guidelines we provide.

8. Service-level agreement

We commit to 99.9% uptime measured monthly, excluding scheduled maintenance (announced at least 7 days in advance) and force-majeure events.

If we fall short of this target, eligible customers receive service credits per the order-form schedule. Credits are the exclusive remedy for SLA breaches.

9. Warranties & disclaimers

We warrant that the platform will perform substantially in accordance with our published documentation. Beyond that, the platform is provided “as is”. To the maximum extent permitted by law, we disclaim all other warranties — express, implied, or statutory — including merchantability, fitness for a particular purpose, and non-infringement.

Map tiles are sourced from OpenStreetMap contributors and are provided subject to their licensing terms. We do not warrant the geographic accuracy of any tile or third-party dataset.

10. Liability

To the maximum extent permitted by law:

• Neither party is liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, or data.
• Our aggregate liability under these Terms is capped at the fees you paid us in the 12 months preceding the event giving rise to the claim.
• This cap does not apply to liability for: (a) fraud or wilful misconduct, (b) breach of confidentiality obligations, (c) infringement of intellectual-property rights, or (d) liability that cannot be excluded by law.

11. Termination

• Either party may terminate for material breach if uncured 30 days after written notice.
• You may export your data at any time during the term and for 90 days after termination.
• We may suspend the service immediately for security incidents, regulatory orders, or non-payment beyond 30 days overdue.
• Sections governing data, IP, liability, confidentiality, and governing law survive termination.

12. Governing law

These Terms are governed by the laws of the Republic of Kenya. Any dispute that cannot be resolved through good-faith negotiation will be referred to arbitration in Nairobi under the rules of the Chartered Institute of Arbitrators (Kenya Branch), with English as the language of arbitration.

For customers headquartered outside Kenya, the parties may agree alternative governing law and venue in the order form.
